Ultraner Titan terms

1. What Titan is

Ultraner Titan is a service from Ultraner that prepares, submits and follows the formation of a Delaware C Corporation or Delaware LLC for you. These terms apply in addition to the Ultraner terms of service.

2. Our formation partner

Ultraner does not file company formations itself. Formation, the registered agent service, the EIN application and, for a C Corp, the 83(b) filings are carried out by our US formation partner, a third-party formation service.

To form your company we open an account with the partner in the name and email of the person applying, and submit your application to it. You authorize us to do so. Each founder will receive the partner's signing packet and other emails directly from the partner, must sign the formation documents personally, and must accept the partner's own terms. The partner may carry out its own identity and compliance checks and may decline a company.

3. Your authority and information

The person applying confirms that they are authorized to apply on behalf of the company and every founder, that every founder is 18 or older, and that the information given is true and complete. Founder names must match their government ID.

We share the application, including the applicant's date of birth and home address, with the formation partner only to form the company and meet legal identity requirements.

4. Fees

Formation costs USD 1,000, paid before we file. It covers the Delaware filing and state fees, the registered agent for the first year, the EIN application, the 83(b) filings for a C Corp, and our support.

From the first anniversary of incorporation, Titan costs USD 300 a year for the registered agent, reminders and support. We will tell you before each renewal is due. If you choose not to renew, you must appoint another registered agent, or the company will fall out of good standing.

Taxes, including Delaware franchise tax, the annual report fee and federal or state tax, are the company's own responsibility and are not included.

When you pay in a currency other than USD, the amount is converted at Ultraner's rate shown at checkout.

5. Refunds

You may cancel an unpaid application at any time. After payment, we refund the fee in full on request until we have filed your application with the formation partner. Once filed, state and partner fees are spent, and the formation fee is not refundable. If your company cannot be formed for a reason that is not caused by false or incomplete information, we refund the fee in full to the method you paid with.

6. Restricted businesses and sanctions

We cannot form a company for anyone located in, ordinarily resident in, or doing business with Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine, or for anyone on a US sanctions list.

We also cannot form a company that operates in these categories: illegal products or services; marketing to minors; unauthorized financial services; hazardous materials; hate and violence; unregulated health products; intellectual property infringement; weapons; deceptive practices. If we find that a company does, we may stop the application, and the fee is refundable only as set out in section 5.

7. No legal, tax or accounting advice

Ultraner and its formation partner are not law firms or accountants. Titan provides formation services and general information. Our guides and docs are not legal, tax or accounting advice. Talk to a qualified professional about your circumstances, including the rules in your home country.

8. Timing

Timelines we give are typical, not guaranteed. Formation depends on every founder signing and on the State of Delaware. The EIN depends on the IRS, which processes applications without an SSN by hand.

9. Liability

To the extent the law allows, Ultraner's total liability to you in connection with Titan is limited to the fees you paid for Titan in the twelve months before the claim.
