Forming your company with Titan

Everything that happens between the form and a company with its tax ID.

What you need

Company name

Your first choice and up to two alternatives, in case Delaware already has the name. You can check availability on the Delaware Division of Corporations entity search.

What the company does

Two or three plain sentences. The formation partner and the bank both read it.

A company address

Anywhere in the world. A home or office address is fine. Delaware itself uses the registered agent address.

Every founder

Full legal name exactly as on their passport or national ID, email, title, and how much of the company they own.

The person applying

Date of birth, nationality, phone and home address. Kept private: used only for identity checks.

An option pool, for a C Corp

Shares set aside for future employees. Many startups reserve 10%. You can choose 0.

Not needed

  • · An SSN or ITIN. Founders without one still get an EIN.
  • · A US visa, US residency or a trip to the US.
  • · A US phone number. Yours works.
  • · A US card. Pay by mobile money, card or PayPal.

How Titan works

Titan forms a Delaware C Corporation or Delaware LLC for founders anywhere in the world. You fill in one application on Ultraner, pay the formation fee in your own currency, and our formation team takes it from there.

We check the application, file it with our US formation partner, and follow it until the company has its tax ID. Every change of status is emailed to you and shown on your application page.

Applying

Sign in to Ultraner and open Titan, then Apply. The form saves as you go, so you can stop and come back. A checklist shows what is still missing; the Pay button unlocks once it is empty.

One person applies on behalf of all founders and confirms they are authorized to do so. That person gives their date of birth, nationality, phone and home address for identity checks. Other founders give their name, email, title and ownership.

  • Ownership plus the option pool must add up to exactly 100%.
  • Each founder needs a different email address: the signing packet goes to each one.
  • Every founder must be 18 or older.

Paying

Formation costs USD 1,000, which covers the Delaware filing, the state fees, the registered agent for the first year, the EIN application and, for a C Corp, the 83(b) filings. From year two it is USD 300 a year.

You pay through Ultraner checkout by mobile money, card or PayPal. Mobile money is charged in your local currency at our live rate. The application moves to In review the moment the payment succeeds.

Signing the formation documents

Once we file, each founder receives the formation partner's signing packet by email. That email comes from the partner, not from Ultraner, and it is expected. Each founder signs online. Formation waits for every signature, so the fastest companies are the ones whose founders sign the same day.

For a C Corp the packet includes the certificate of incorporation, bylaws, the initial board consent, each founder's stock purchase agreement and the 83(b) election. For an LLC it includes the certificate of formation and the operating agreement.

What each status means

Your application page always shows one of these.

  • Draft: saved, not yet paid.
  • Awaiting payment: complete, waiting for the fee.
  • In review: paid, being checked by our team, usually within one business day.
  • Action needed: we need something from you. The note on the page says what. Fix it and press Send back.
  • Filing: filed with our formation partner. Watch your email for the signing packet.
  • Incorporated: the company exists in Delaware. The documents are in your email.
  • Tax ID issued: the IRS has issued the EIN.
  • Complete: formed, with its EIN, ready to bank and get paid.

The EIN

The EIN is the company's federal tax ID. Banks ask for it and so does every US payment provider. We apply for it after incorporation.

If no founder has an SSN or ITIN, the IRS processes the application by hand. That usually takes one to four weeks. We never ask for an SSN or ITIN, and we only store the last four digits of the EIN; the full letter goes to you.

After formation

Open a US business bank account. Your formation partner offers one that opens online, and many US banks and fintechs accept non-US founders. Then add it to your Ultraner account under Settlements to receive your takings in dollars.

Keep the company in good standing: Delaware franchise tax and annual report each year, and federal tax returns even in a year with no revenue. Our guide on annual compliance lists every date.

Refunds and cancelling

Before payment you can cancel an application at any time. After payment, the fee is refunded in full until we file with our formation partner. Once filed, the state and partner fees are spent and the fee is not refundable. If we cannot form the company at all, the full fee is refunded to the method you paid with.

Businesses we cannot form

We cannot form a company in the categories below, or for anyone located in, or doing business with, a sanctioned jurisdiction: Cuba, Iran, North Korea, Syria, the Crimea region of Ukraine. Every applicant confirms this before paying.

  • Illegal products or services: Including illegal drugs and marijuana-related products, even where they are legal locally.
  • Marketing to minors: Alcohol, tobacco or sexual products marketed mainly to people under 18.
  • Unauthorized financial services: Shell banks, unlicensed money transmission, predatory lending and similar.
  • Hazardous materials: Toxic, explosive or radioactive materials.
  • Hate and violence: Products, content or services that promote hate, violence or discrimination.
  • Unregulated health products: Pseudo-pharmaceuticals and unapproved therapeutic drugs.
  • Intellectual property infringement: Counterfeit goods or unauthorized use of someone else's IP.
  • Weapons: Firearms, ammunition and related products.
  • Deceptive practices: Get-rich-quick schemes, pyramid schemes and document falsification.

Your data

We collect only what formation needs. The applicant's date of birth and home address are used for identity checks and shared only with our formation partner. We do not collect SSNs or ITINs. See the Ultraner privacy policy for how long records are kept.
